BY-LAWS

A. NAME, PURPOSE AND PRINCIPAL OFFICE
1. The name of this organization shall be Chesapeake Antique Fire Apparatus Association.

2. The objects of this organization shall be as follows:
A. To stimulate and cultivate interest in the restoration, preservation and operation of fire apparatus, fire fighting equipment and memorabilia associated with the fire service, and to stimulate and cultivate (T) interest in all matters pertaining to the history of the fire service, fire fighting and fire prevention. No part of the net (C) earnings of this organization may inure to the benefit of any (T) individual member.
B. To perpetuate the spirit which, from the earliest days/has actuated fire fighters in the rendition of service of the highest type in the protection of life and property from fire.

3. The principal office of this organization shall be in the County of Baltimore, Maryland.

B. MEMBERSHIP
Membership, except for Honorary Membership, shall be restricted to members (C) in good standing of the Society for the Preservation and Appreciation of Antique Motor Fire Apparatus in America, and membership is divided into the (T) following classes.

1. Active Members
Active Members shall be persons of the age of at least eighteen years and of good moral character. Active Members shall be eligible to hold office, attend and vote at meetings, and participate in functions of the organization whenever possible.

2. Junior Members
Junior Members shall be persons of the age of at least twelve years but not more than eighteen years, and of good moral character. Junior Members shall not be eligible to hold office, but may attend meetings without the right to speak or vote therein, and may attend all club functions. (C)

3. Honorary Members
Any person not a member of the organization shall be eligible to become an Honorary Member. Honorary Members shall not be eligible to hold office or vote, but may attend meetings and other functions of the organization. Honorary Members shall not comprise more than three percent of (C) the total membership. (C)

4. Affiliate Members
Any fire department or other organization owning antique fire apparatus shall be eligible for Affiliate Membership. Affiliate Members shall not be eligible to hold office, but may attend functions of the organization. An Affiliate Member may be represented at meetings by one delegate with one vote.

C. ATTAINMENT OF MEMBERSHIP
1. Active, Junior or Affiliate Membership shall be granted to any person or organization eligible therefore upon payment of dues specified for the calendar year and upon approval of the Board of Directors.

2. Honorary Membership may be granted by a two-thirds vote of members pres- ent at any meeting. The basis for election to such title shall rest in the performance of such services or acts in the interest of the organiza-- tion which, in the opinion of the members, entitle said person to such a reward. The name for same shall be presented at one meeting and voted upon at the next meeting.

D. OFFICERS AND THEIR SELECTION
1. The officers of this organization shall consist of a President, Vice- president, Secretary, Assistant Secretary and Treasurer, all of whom shall be chosen from the Active Membership.

2. Officers of this organization shall be elected for a term of one year from the date of the annual installation. A vacancy in any office may be filled at any meeting. The term of any officer not elected at the annual meeting shall expire at the annual installation succeeding their election.

E. DUTIES OF OFFICERS
1. President
a. It shall be t he duty of the President to preside over all meetings of the organization and of the Board of Directors, to call special meetings when, in the President's judgment, they are necessary, to appoint all committees, to enforce the observance of the charter and by-laws, to cause an annual report on the affairs and activities of the organization to be issued, and to install newly elected officers, directors and members.

b. The President shall have overall supervision of functions of the organization.

2. Vice-president
The Vice-president shall assist the President in any way that the President may direct, and in the absence of the President shall preside and do all acts incumbent on the President to perform. In the event of death or disability of the President to serve, the Vice-president shall serve as President until the next annual installation.

3. Secretary
The Secretary shall keep a complete record of all proceedings of the organization and the Board of Directors, maintain a roster of members and their place of residence, answer all communications pertaining to the organization, give notice of all meetings and other functions, and make such reports as the President or Board of Directors may require in addition to a report to be given at the annual meeting.

4. Assistant Secretary
The Assistant Secretary shall assist the Secretary in any way that the Secretary may direct. In the absence of the Secretary, the Assistant Secretary shall perform all acts incumbent on the Secretary to perform.

5. Treasurer
The Treasurer shall receive all moneys due to the organization, including dues, fees and donations, pay all bills and issue all necessary checks. The Treasurer shall keep an accurate account of all receipts and disbursements, submit the Treasurer's books for auditing when called upon by the Board of Directors to do so and make a report at the annual meeting, and at any other meeting upon request of the Board of Directors.

F. BOARD OF DIRECTORS
The executive power and management shall be vested in a Board of Directors which shall consist of eight members. These shall include the President, Vice- president, Secretary, Assistant Secretary and Treasurer as executive members who shall hold membership on the Board of Directors during their term of office, two regular members of the Board of Directors, and the immediate past president. One regular member shall be elected from the active membership at each annual meeting for a term of two years. In the event that the immediate past president shall no longer be a member of the organization, that position shall remain vacant.

1. By majority vote of the Board of Directors' members present at the Board of Directors' meeting, the Board of Directors shall have general charge of the affairs of the organization and shall have the power and authority to enforce all rules and regulations of the organization as set forth in the charter and by-laws. They shall be responsible for the committees acting in the name of the organization and accountable for the activities and expenditures of these committees.

2. The Board of Directors may act upon matters pertaining to the organization without the consent of the Active Membership, but is directly responsible to the organization for its actions. Minutes of any Board of Directors' meetings shall be read at the next regular meeting of the organization.

3. The Board of Directors may fill, by appointment, any vacancy in any office in the organization, said appointment to be effective until a proper election can be held in the manner as provided preceding for officers and Their Selection, and as provided following for Elections.

4. The Board of Directors shall have the power to investigate and try charges against any member or officer and, if the member or officer charged is found guilty, shall have the power to suspend or expel such member or officer. The Board of Directors shall also have the power to reinstate, for good cause, any suspended member or officer.

5. The President of the organization shall serve as Chairman of the Board of Directors.

G. COMMITTEES
1. All committees shall be appointed by the President, as the President deems appropriate, pursuant to these by-laws.

2. Each committee shall consist of at least two members, of which the first named shall be chairman, and shall be directly responsible to the Presi- dent, who shall serve as an ex officio member. Each committee shall re- port upon its activities at each regular meeting of the organization.

H. MEETINGS

1. The annual meeting shall be held during the month of November, at a time and place to be determined by the Board of Directors.

2. The annual installation shall be held in December at a time and place to be determined by the President. At that time the officers and directors shall be installed and take office.

3. At least two other regular meetings shall be held during the calendar year and shall be called by the President for a time and place as the President shall determine.

4. Special meetings may be held subject to the call of the President or a majority of the Board of Directors. The notice thereof shall be forward- ed by mail to the last known address of every member in good standing at least ten days prior to the date fixed for said meeting and shall specify for what purpose the meeting is called. No other business shall be transacted thereat.

5. Roberts' Rules of Order shall be used for the government of all regular meetings not otherwise provided for in these by-laws.

I. ELECTIONS
1. All officers and directors shall be elected by ballot at the annual meet- ing by a majority of the Active Members present thereat, or voting by proxy filed in advance with the Secretary.

. 2. Only Active Members in good standing shall be entitled to vote at an annual meeting.

J. DUES AND ASSESSMENTS
1. The annual dues for Active, Junior and Affiliate Members shall be set by the Board of Directors and shall be payable on or before January 1 of each year.

2. Dues for Active, Junior and Affiliate Members who apply for membership in the organization subsequent to the annual meeting shall be due upon acceptance of the person or organization as a member by the Board of Directors, and shall be for the calendar year in which accepted, unless said acceptance is in November or later, in which case dues shall apply to the calendar year following.

3. Any member who fails to pay their dues by February 1 shall be notified in writing by the Secretary and be given thirty days from the date of said notice in which to pay same. If the member fails to do so, the member shall be dropped from the rolls. The Secretary shall announce the names of those members dropped from the rolls at the next regular meeting.

K. SUSPENSION AND EXPULSION
Any member may be suspended or expelled from the organization for cause by the Board of Directors, pursuant to the provision specified under the duties of the Board of Directors preceding in these by-laws, provided the accused shall have been served with written charges at least seven days prior to the meeting, together with a notice that the charges will be considered at the meeting.

L. REINSTATEMENT
1. Any member dropped from the rolls for nonpayment of dues may be rein- stated by the Board of Directors, provided the amount of their indebtedness to the organization at the time the member was dropped shall have been paid, and upon payment of dues for the current calendar year.

2. A member expelled from the organization shall not be eligible for rein- statement.

BY-LAWS

M. RESIGNATIONS
Resignations shall be presented in writing or in person, but shall not be accepted if the member is under suspension, indebted to the organization or has not turned over to the organization all property belonging to it in the possession of the member.

N. AMENDMENTS

These by-laws may be amended at any meeting by a two-thirds vote of the (T) Active Members present, provided the proposed amendment shall have been submitted in writing at a previous meeting and notice then given when the same would be called up for action. (C)
